Zoo Digital Group PLC31 August 2007 ZOO Digital Group plc (the "Company") Grant of options The Board of ZOO Digital Group plc announces that on 31 August 2007 the Boardgranted in total 2,265,416 options to its employees, all of which are capable ofbeing exercised at an exercise price of 26.5 pence per share, of which thefollowing were granted to the following directors: Director No. of Percentage of options issued share granted capital Dr Christopher Honeyborne (Chairman) 30,000 0.17% Dr Stuart Green (Chief Executive Officer) 175,000 0.98% Helen Gilder (Group Finance Director) 450,000 2.51% Ian Stewart (Non-Executive Director) 30,000 0.17% Total 685,000 3.83% All options granted to the aforementioned directors and those granted to seniormanagers are subject to the following performance criteria: 40 per cent. of the Options may be exercised provided that a Market Price of£0.75 per share or above has been achieved and maintained for a continuousperiod of 1 calendar month ending not earlier than the first anniversary of theDate of Grant. A further 30 per cent. of the Options may be exercised provided that a MarketPrice of £1.25 per Share or above has been achieved and maintained for acontinuous period of 1 calendar month ending not earlier than the secondanniversary of the Date of Grant. The final 30 per cent. of the Options may be exercised provided that a MarketPrice of £1.75 per Share or above has been achieved and maintained for acontinuous period of 1 calendar month ending not earlier than the thirdanniversary of the Date of Grant. The Board of ZOO Digital Group plc also announces that, on 31 August 2007, thetrustees of the ZOO Employee Share Trust Limited (the "ZEST") transferred40,781 ordinary shares in the Company to the trustees of the ZOO Digital Groupplc, Inland Revenue approved, Share Incentive Plan (the "Plan") forappropriation to employees of the ZOO group of companies under the terms of thePlan which is an all-employee scheme as dictated by the Inland Revenue rules.The share transfer included the award of ordinary shares to executive directorsof the Company.
