Grant of Options

Conviviality Retail Plc (AIM: CVR), one of the UK's largest franchise led off-licence chains, announces the grant of options to Andrew Humphreys, the Company's Chief Financial Officer, who was appointed on 16 June 2014.

An option over 263,929 ordinary shares of £0.0002 each in the capital of the Company ('Ordinary Shares') has been granted to Andrew under the Company's Employee Share Option Plan (ESOP). The exercise price of the option granted is 170.50p per Ordinary Share, being the closing mid-market price on 17 September 2014. The ability to exercise the option is subject to performance criteria, including the achievement by the Company of certain EBITDA targets for the financial periods up until April 2016. The option can be exercised (subject to the performance conditions and a three year service condition being met) for a period of 10 years from 18 September 2014.

In addition a nil cost option over 70,000 issued Ordinary Shares (that were held within the Company's employee benefit trust at the time of admission to trading on AIM) has been granted to Andrew. As a result of this option being over issued shares, its exercise will not create any further dilution for shareholders. The option can be exercised (subject only to a 1 year service condition being met) for a period of 10 years from 18 September 2014.

Following this grant, Andrew Humphreys' interest in Ordinary Shares comprises options over a total of 333,929 Ordinary Shares, representing 0.50% of the Company's issued share capital.
