Grant of Options
ZOO Digital Group plc, a world-leading provider of cloud-based localisation and digital distribution services to the global entertainment industry, announces that the Company has granted options over ordinary shares of 1 penny each (the "Ordinary Shares") in the Company (the "Options") to certain Directors and employees of the Company, of which a proportion will replace certain options previously issued under the ZOO Digital Group plc EMI scheme.
ZOO is granting these Options with the objective of attracting, motivating and retaining key staff over the long term; the Options are designed to incentivise delivery of the Company's growth objectives.
Gordon Doran, Chief Commercial Officer, has been granted 110,000 Options which will vest after three years from issue. The Options are exercisable at a price of 72.5 pence per share and are subject to certain performance conditions related to Group revenue growth and profitability.
Phillip Blundell, Chief Financial Officer, has been granted 400,000 options which will vest after three years from issue. The Options are exercisable at a price of 72.5 pence per share and are subject to certain performance conditions related to Group revenue growth and profitability.
At the same time that this grant of Options was made, the Company, in agreement with Phillip Blundell, has cancelled certain previous options granted to him in 2018, outlined below. The aforementioned and below Options have been granted to Phillip Blundell to replace those cancelled 2018 options cancelled. These new, replacement Options will vest in May 2023, and are subject to certain performance conditions related to Group revenue growth and profitability.

A further 1,405,000 Options have been issued to other employees which vest in May 2023 and are similarly subject to performance conditions related to Group revenue growth and profitability.
All new Options have an exercise price of 72.5 pence per share, being the closing mid-price on 13 May 2020, being the latest practicable date prior to the grant, and will lapse on the tenth anniversary of grant.
As a result of this grant, the total number of options issued is 8,390,818, equivalent to 11.26 per cent. of the current issued share capital of the Company.
