Grant of Options

The Company announces that on 9 December 2011 it granted nil-cost options over 1,652,228 ordinary shares of 10 pence each in the Company ("Ordinary Shares") to certain directors of the Company, pursuant to the Cyril Sweett Performance Share Plan, which was approved at the AGM on 2 September 2011 (the "PSP Share Options"). These grants of options were accepted by the directors on 12 March 2012.

The PSP Share Options may be exercised from 9 December 2014 to 8 December 2021. The PSP Share Options will vest subject to the satisfaction of certain performance conditions. Because the PSP Share Options are nil-cost options, they do not have an exercise price attached to them.

Following the grant of the PSP Share Options, the total number of options outstanding over the Company's issued share capital is 8,792,872. It is, however, the Company's current intention that the PSP Share Options be settled by way of a cash payment equal to the value of the vested Ordinary Shares on exercise, thereby eliminating their dilutive effect. If they are excluded from the calculation, the total number of options outstanding over the Company's issued share capital is 7,140,644.
