Grant of Share Options
FreeAgent Holdings plc, a provider of cloud-based Software-as-a-Service ("SaaS") accounting software solutions and mobile applications designed specifically for UK micro-businesses, announces that on 5 July 2017 pursuant to applications to participate in the FreeAgent Holdings plc Save As You Earn Option Plan established in June (the "SAYE Scheme"), the Company has granted options over ordinary shares of 1 pence each ("SAYE Options") to the following Directors and PDMRs:

The above Options granted under the SAYE Scheme will vest automatically upon maturity of the underlying savings contracts on 1 August 2020 with an exercise price of 76 pence per share. A total of 570,804 SAYE Options were granted to participating employees (including Directors/PDMRs) under the SAYE Scheme.
In addition, the Company reports that options over ordinary shares of 1 pence each ("LTIP Options") were granted to Directors and PDMRs on 21 December 2016 and 13 June 2017 under the Company's Long Term Incentive Plan ("LTIP").
LTIP Options granted on 21 December 2016 were as follows:

The above LTIP Options will, subject to the achievement of relevant performance targets, vest on 12 June 2020 with an exercise price of 101.5 pence per share.
Including options outstanding under the Company's EMI share option plan which pre-date admission to trading on AIM in November 2016, the Company has outstanding employee share options over 3,187,224 ordinary shares, representing 7.83% of the current issued ordinary share capital.
