Grant of Awards to Persons Discharging Managerial Responsibilities (PDMRs)
The following notifications are made under Article 19 of the UK Market Abuse Regulation relating to certain transactions by persons discharging managerial responsibilities (PDMRs) in the shares of the Company.
On 6 April 2021 awards over ordinary shares of £0.001 each in the capital of the Company were granted under the Equiniti Group Performance Share Plan (the PSP) in respect of 2020 financial year performance (designated as Type A Awards), to PDMRs, as follows:

The award for Mr Lynam will be based on TSR performance against the FTSE 250 (excluding investment trusts) over the performance period 1 April 2021 to 30 March 2024 and will vest on 6 April 2024. In line with our existing policy, the Remuneration Committee will review the vesting outcome following the assessment of the performance condition to ensure that Awards reflect underlying performance.
No consideration was paid for the grant of the Type A Awards, which is structured as nil cost options.
PDMRs will be required to hold any ordinary shares acquired on the exercise of Type A Awards for a further two-year period (after selling sufficient shares to pay the tax arising on exercise).
