Governance Arrangements

As a result of the decision to refer News Corporation's proposed offer ('the Proposal') for the shares in BSkyB that it does not already own to the Competition Commission for further review, the Takeover Panel today has notified BSkyB that the Company is no longer in a formal offer period.

The Company confirms that the additional governance arrangements described in its statement of 15 June 2010 will continue to operate for the duration of the Proposal or until the completion of any transaction contemplated by the Proposal. At the same time, the management team will remain fully focused on its strategic and operational priorities.
