€500,000,000 2.250 per cent. guaranteed notes due 2025 (ISIN: XS1321424670) (the "Notes")

issued by Sky plc and guaranteed by, amongst others, Sky Group Finance plc under the £5,000,000,000 Guaranteed Global Medium Term Note Programme (the "Programme")

This notice is delivered to you in respect of the Notes constituted by the Trust Deed dated 5 June 2015, as amended, supplemented and/or restated from time to time (the "Trust Deed") and made between, amongst others, Sky Group Finance plc ("Sky Finance") and Sky plc ("Sky") as issuers, Sky Finance, Sky, Sky UK Limited, Sky Telecommunications Services Limited and Sky Subscribers Services Limited (together, the "Initial Guarantors") and BNY Mellon Corporate Trustee Services Limited (the "Trustee"). Sky In-Home Service Limited ("SHS", and together with the Initial Guarantors, the "Original Guarantors") has previously acceded to the Trust Deed and the Notes as an additional guarantor. All words and expressions defined in the Trust Deed shall (save as otherwise provided herein or unless the context otherwise requires) have the same meanings herein.

In accordance with the provisions of the Trust Deed, SHS has been fully and unconditionally released from all obligations under its guarantee of Indebtedness for money borrowed in excess of £50,000,000 and, accordingly, SHS is deemed to be released from all obligations under its guarantee of the outstanding Notes (the "Release").

In addition, as a result of Sky CP Limited ("Sky CP") guaranteeing other Indebtedness for money borrowed in excess of £50,000,000, Sky has procured, in accordance with the provisions of the Trust Deed, the accession of Sky CP as a guarantor in respect of the Notes (the "Accession").

To record the Release and effect the Accession, the relevant parties have entered into a second supplemental trust deed (the "Second Supplemental Trust Deed") dated 5 December 2016 to the Trust Deed and entered into a second supplemental agency agreement (the "Second Supplemental Agency Agreement") dated 5 December 2016 to the Agency Agreement dated 5 June 2015 (as amended, supplemented and/or restated from time to time) originally entered into between, amongst others, Sky, Sky Finance, the Trustee and The Bank of New York Mellon, acting through its London branch.

Copies of the Second Supplemental Trust Deed and the Second Supplemental Agency Agreement are available for inspection at the office of Sky and each of the Paying Agents.
