£300,000,000 6.00 per cent. guaranteed notes due 2027 (ISIN: XS0301676861) (the "Notes")

issued by Sky plc (formerly known as British Sky Broadcasting Group plc) and guaranteed by, amongst others, Sky Group Finance UK plc (formerly known as BSkyB Finance UK plc) under the £1,000,000,000 Guaranteed Euro Medium Term Note Programme, as updated from time to time (and currently the £5,000,000,000 Global Medium Term Note Programme) (the "Programme")

This notice is delivered to you in respect of the Notes constituted by the Trust Deed dated 2 April 2007, as amended, supplemented and/or restated from time to time (the "Trust Deed") and made between, amongst others, Sky Group Finance UK plc (formerly known as BSkyB Finance UK plc) ("Sky Finance") and Sky plc (formerly known as British Sky Broadcasting Group plc) ("Sky") as issuers, Sky Finance, Sky, Sky UK Limited (formerly known as British Sky Broadcasting Limited) ("Sky UK") and Sky Subscribers Services Limited (together, the "Initial Guarantors") and BNY Mellon Corporate Trustee Services Limited (the "Trustee"). Sky Telecommunications Services Limited ("STSL" and together with the Initial Guarantors, the "Original Guarantors") has previously acceded to the Trust Deed and the Notes as an additional guarantor. All words and expressions defined in the Trust Deed shall (save as otherwise provided herein or unless the context otherwise requires) have the same meanings herein.

In accordance with the provisions of the Trust Deed, Sky has procured the accession of Sky In-Home Service Limited ("SHS") as a guarantor in respect of the Notes (the "Accession"), as a result of SHS guaranteeing other Indebtedness for borrowed money in excess of £50,000,000.

To effect the Accession, the relevant parties have entered into a second supplemental trust deed (the "Second Supplemental Trust Deed") dated 15 April 2016 to the Trust Deed and entered into a second supplemental agency agreement (the "Second Supplemental Agency Agreement") dated 15 April 2016 to the Agency Agreement dated 2 April 2007 (as amended, supplemented and/or restated from time to time) originally entered into between, amongst others, Sky, Sky Finance, the Trustee and The Bank of New York Mellon, acting through its London branch.

Copies of the Second Supplemental Trust Deed and the Second Supplemental Agency Agreement are available for inspection at the office of Sky and each of the Paying Agents.
