Imperial Innovations Group plc announces allocation of all Placing Shares
Further to its announcement this morning (the "Announcement") of a proposed cash placing (the "Placing") of 8,108,108 new ordinary shares in the capital of the Company (the "Placing Shares") at a price of 370 pence per Placing Share (the "Placing Price"), Imperial Innovations Group plc (the "Company") announces that JPMorgan Cazenove has, on behalf of the Company, successfully allocated all of the Placing Shares with institutional investors (including the Company's parent, Imperial College) at the Placing Price and that the Placing has now been fully underwritten by JPMorgan Cazenove.
Application will be made to London Stock Exchange plc for the Placing Shares to be admitted to trading on AIM ("Admission"). Subject to the satisfaction of the conditions to the Placing as appended to the Announcement, which include the passing of a special resolution at an Extraordinary General Meeting of the Company disapplying statutory pre-emption rights in respect of the Placing Shares which is to be convened for 10.00 a.m. on Wednesday 21 November 2007, it is expected that Admission will become effective at 8.00 a.m. (London time) on 22 November 2007 and that dealings in the Placing Shares will commence at that time.
JPMorgan Cazenove is acting as financial adviser, bookrunner and underwriter in relation to the Placing.
