The Placing is conditional, inter alia, on shareholder approvaland Admission. A circular will be sent to shareholders shortly and will include a noticeconvening an Extraordinary General Meeting to be held on 15 August 2013 to seekShareholder approval to (i) implement the Placing, (ii) amend the Articles inrespect of the timing and frequency of meetings convened to vote upon thecontinuation of the Company, and (iii) amend the Company's investment strategyand investment restrictions.
