(i) James Barham
(1) Number of shares which may be subject to options capped at the lower of: (i) shares representing 2.5% of the company's issued share capital; and (ii) shares having an aggregate value of £20 million, in each case on the proposed grant date (being a date shortly after publication of the company's preliminary results for 2023, 2024 and 2025). (2) If the sale of River and Mercantile's Solutions business completes, it will be treated as a "Corporate Action" under the VTP rules and, subject to the VTP rules, the executive directors will be eligible for the grant of an option over such number of ordinary shares as will be calculated in accordance with the VTP rules.
(ii) Simon Wilson
(1) Number of shares which may be subject to options capped at the lower of: (i) shares representing 1.5% of the company's issued share capital; and (ii) shares having an aggregate value of £12 million, in each case on the proposed grant date (being a date shortly after publication of the company's preliminary results for 2023, 2024 and 2025). (2) If the sale of River and Mercantile's Solutions business completes, it will be treated as a "Corporate Action" under the VTB rules and, subject to the VTB rules, the executive directors will be eligible for the grant of an option over such number of ordinary shares as will be calculated in accordance with the VTB rules.
