Details, including nature of the rights concerned and relevant percentages: | Subject to, among other things, the passing of the resolutions at the general meeting of the Offeree to be held on 14 May 2015 (as described in the prospectus dated 31 March 2015 relating to the Company), NR Holdings Limited has agreed to subscribe for 249,732,263 ordinary shares in the capital of the Offeree in connection with the open offer relating to the Offeree. Upon admission of such shares, NR Holdings Limited will hold 51.66 per cent. of the voting rights of the Offeree. |

Mr. Nathaniel Rothschild holds a direct interest in 26,714,584 Ordinary Shares (constituting 11.09 per cent. of the voting rights in the Offeree).
Mr. Tom Daniel, through one or more trusts in which Mr. Daniel is the principal beneficiary, holds an indirect interest in 728,788 Ordinary Shares (constituting 0.3 per cent. of the voting rights in the Offeree).
