Archimedia Ventures PLC29 June 2006 ARCHIMEDIA VENTURES PLC PRELIMINARY RESULTS FOR THE YEAR ENDED 31 DECEMBER 2005 CHAIRMAN'S STATEMENT During the period to 31 December, 2005 Archimedia was established as aninvestment company and its shares admitted to trading on the AlternativeInvestment Market on 31 March. Since that time, your Directors have reviewed many investment opportunities inthe media and related sectors. In line with AIM regulations, trading in the company's shares was suspended on 3April, 2006 pending the announcement of a reverse takeover and the companyannounced on that date that it had agreed Heads of Terms with an internationaldistributor of films and television programmes and hoped that rapid progresswould be made. The company with whom agreement had been reached has nowwithdrawn from the agreement and therefore this proposed transaction will notnow proceed. Your Directors are reviewing other transactions and proposals and afurther announcement will be made as soon as is appropriate. Archimedia is alsocontinuing to review the development of formats for the internet based "VictorPredictor" football prediction game, whose internet site has been revamped andwill be relaunched shortly. Turnover during the period was £nil and expenses have been minimal, costs beingprincipally those associated with the creation of the company and its admissionto trading and the recurring costs thereof. At 31 May, the company had net cashof £140,000. Whilst disappointed that the completion of a significant transaction has beendelayed, your Directors are confident that the options now being considered willlead to the building of value for shareholders. Licences are amortised over the shorter of theiruseful life or the period of the licence and are stated at amortised cost lessany provision for permanent diminution in value. 1.3 Deferred taxation The accounting policy in respect of deferred tax reflects the requirements ofFRS 19 - Deferred tax. Deferred tax is provided in full in respect of taxationdeferred by timing differences between the treatment of certain items fortaxation and accounting purposes. On 9 March 2005, each of the 2 issued shares and each of the unissued OrdinaryShares were divided into 100 Ordinary Shares of 1 pence each and the authorisedshare capital was increased to £3,000,000 by the creation of a further295,000,000 Ordinary Shares of 1 pence each.
