Extension of TERM OF Share REPURCHASE Programme
On 19 June 2025, Hostelworld Group plc ("Hostelworld" or the "Company") announced a share buyback programme ("Buyback Programme") of up to £5 million, which was due to complete on 31 December 2025 (unless the maximum consideration amount was reached earlier). The Company now confirms that the duration of the Buyback Programme has been extended to the date preceding the Company's 2026 Annual General Meeting (expected to be held in May 2026), unless completed or terminated earlier. The Buyback Programme will continue to be carried out in accordance with the Company's general authority to repurchase ordinary shares ("Shares") granted at its Annual General Meeting held on 7 May 2025.
As of 17 November 2025, the Buyback Programme had resulted in the repurchase in aggregate of 2,584,783 of the Company's Shares for a total consideration of approximately £3.2 million. All of the repurchased Shares were cancelled.
As at the close of business on 17 November 2025, the Company's total issued share capital consisted of 124,692,540 Shares. The Company does not hold any Shares in treasury and, therefore, the total number of Shares carrying voting rights in the Company is 124,692,540.
All other terms of the Buyback Programme, as set out in the announcement on 19 June 2025, remain unchanged.
