Namibian Resources PLC19 December 2005 NOTICE OF EXERCISE OF WARRANTS Namibian Resources Plc ("the Company") 19 December 2005 The company was today informed that the following Director exercised warrants at10p for ordinary shares in the company. Tony Carlton has today exercised 280,000 warrants at a price of 10p per warranton behalf of his wife thereby increasing his beneficial shareholding in thecompany to 1,415,000 ordinary shares. Total percentage holdings of issued shares after this notification will be 3.9% In addition application has been made to London Stock Exchange for an additional1,290,000 Ordinary shares of 10p each, in addition to the shares above, to tradeon the Alternative Investment Market. The shares have been issued in connectionwith exercise of warrants and rank pari passu with the existing class ofOrdinary 10p shares. Application will be made for the new shares to be admitted to trading on AIM andadmission of the new shares is expected to take place on 22 December 2005.
