Exercise of Warrants
CityFibre (CFHL.L), the company that designs, builds, owns and operates fibre optic infrastructure, announces that it has agreed to issue 2,963 new ordinary shares of one penny each (the "Warrant Shares") at a price of sixty pence per Warrant Share pursuant to the exercise of a warrant.
The Company has applied for admission of the Warrant Shares to trading on the AIM Market of the London Stock Exchange ("Admission"). It is expected that Admission will occur and that dealings in the Warrant shares will commence on 22 July 2014. The Warrant Shares will rank pari passu with the existing ordinary shares of one penny each in the capital of the Company (the "Ordinary Shares") already in issue.
Following the issue of the Warrant Shares the Company has 105,440,863 Ordinary Shares in issue and the Company holds no shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company is 105,440,863.
The above figure of 105,440,863 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, CityFibre under the FCA's Disclosure and Transparency Rules.
