Exercise of warrants

Entertainment One Ltd. (the "Company") announces that Marwyn Value Investors LP ("Marwyn") has provided an irrevocable notice to the Company that, subject to certain conditions, it will exercise its warrants over 4,000,000 common shares of the Company at an exercise price of £1.00 per share on or before 28 February 2014. The exercise of the warrants is pursuant to the Marwyn Warrant, which lapses on 29 March 2014, as described in paragraph 18.7 of Part X (Additional Information) of the Company's prospectus published on 7 September 2012.

Marwyn currently owns 75,424,894 common shares in the Company, representing 26.5% of the Company's issued share capital. Once the Warrant Shares have been issued, Marwyn will own 79,424,894 common shares, representing 27.5% of the Company's issued share capital.

The Company will make an application for a listing of 4,000,000 common shares in due course. Once issued, the new common shares will rank pari passu in all respects with the Company's existing common shares.
