Exercise of Warrant, Conversion and Issue of Equity

Catenae Innovation PLC (AIM: CTEA), the AIM quoted provider of digital media and technology, announces it has received notification for the exercise of a warrant over 15,000,000 ordinary shares in the Company at an exercise price of 1.25 pence per share providing the Company with proceeds of £187,500 ("Warrant Exercise").

In addition, the Company has issued 2,083,333 new ordinary shares in order to settle existing liabilities amounting to £35,000 through the issue of new ordinary shares at a price of 1.68 pence per share ("Conversion Shares"). The Conversion Shares are subject to a six-month lock-in.

Application will be made to the London Stock Exchange to admit the 17,083,333 new ordinary shares resulting from the Warrant Exercise and Conversion Shares to trading on AIM. Admission of the new ordinary shares is expected to occur on or around 16 June 2020. The new ordinary shares will rank pari passu with the existing ordinary shares.

For the purpose of the Disclosure and Transparency Rules, following the issue of shares detailed above the enlarged issued share capital of the Company will comprise 165,910,407 ordinary shares of 0.2p each. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
