GB Group PLC26 January 2005 26th January 2005 GB GROUP PLC (the "Company") Exercise of Share Options The Company announces that on 25 January 2005, certain options over shares inthe Company were exercised as follows under the Company's Executive Share OptionScheme: • Richard Law, Chief Executive, exercised his option over 80,000 shares (representing 0.10% of the issued share capital) in the Company at an exercise price of 8.45 pence per share. Following the exercise, Mr Law will have an interest in 587,604 shares in the Company representing 0.73% of the issued share capital of the Company. Mr Law retains further options over 1,520,000 shares in the Company. • Mona Navin-Mealey, Group Finance Director, exercised her option over 30,000 shares (representing 0.03% of the issued share capital) in the Company at an exercise price of 8.45 pence per share. Following the exercise, Mrs Navin-Mealey will have an interest in 350,000 shares in the Company representing 0.44% of the issued share capital of the Company. Mrs Navin-Mealey retains further options over 525,000 shares in the Company. Both Mr Law and Mrs Navin-Mealey have indicated that it is their intention toretain the shares allotted to them pursuant to the above exercises, althoughpart of their holdings may be sold in order that they are able to meet the PAYEand National Insurance tax liabilities arising by virtue of the exercise of theoptions.
