Exercise of options, PDMR dealing and total voting rights
Augean, one of the UK's leading specialist waste management businesses, announces that Gene Wilson, the Corporate Stewardship Director and PDMR, has executed options over 202,531 ordinary shares (the "Options") of 10 pence each in the capital of the Company ("Ordinary Shares"). The Options were awarded on 21 December 2009 under both the Company's Authorised Share Option Scheme adopted on 31 January 2005 (being 75,949 options) and the Company's Unauthorised Share Option Scheme adopted on 13 December 2004 (being 126,582 options) (the "Schemes"). It is noted that this exercise has been executed due to the nearing of the ten-year deadline for exercising under these Schemes. The total shares awarded were sold with the main aim of satisfying the exercise price of 39.5p and the resulting tax liability. Gene remains a key member of the Management Board and an active member of a number of the Company's ongoing long-term incentive plans representing a significant future value potential.
Application has been made to the London Stock Exchange for the 202,531 Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective at 8.00 a.m. on 11 March 2019.
Following Admission, the total number of Ordinary Shares in issue will be 103,988,323 and the total number of voting rights will therefore be 103,988,323. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
