Exercise of Options
Following the Court Hearing held on 7 August 2020 in connection with the cash acquisition of Cello Health plc by Pharma Value Demonstration Bidco Limited, the Company notifies that, following receipt of exercise notices in respect of 4,389,152 options pursuant to the Company's Performance Share Plan 2010, the HM Revenue & Customs Approved Company Share Option Plan and its Unapproved Share Option Plan, 453,000 ordinary shares of 10p each in the capital of the Company ("Ordinary Shares") were transferred out of treasury on 7 August 2020, and a further 3,936,152 new Ordinary Shares were issued and allotted by the Company pursuant to its existing block listing application.
Of the total of 4,389,152 options, the following were exercised by persons discharging managerial responsibilities of the Company:

Following the above transfer of shares out of treasury and issue of new Ordinary Shares to satisfy option exercises, Cello's issued share capital comprises 111,079,683 Ordinary Shares, none of which are held in treasury. The total number of voting rights in the Company is therefore 111,079,683 Ordinary Shares, which may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
