Executive Share Incentive Plan 2003

A conditional allocation of ordinary shares of 515/22 pence was made to each of the following directors of Associated British Foods plc on 20 December 2010 under the terms of the ABF Executive Share Incentive Plan 2003:

The allocation was made on the basis of an allocation price of1,076 pence (being the average of the daily closing mid-market prices for the shares over the five consecutive days 16 to 22 November 2010 inclusive) in accordance with the terms of the Plan.
