Exchange of Class S shares and Issue of Equity
Entertainment One Ltd. today announces that application has been made to the London Stock Exchange for the admission of 340,912 new ordinary shares to trading on AIM (the "Admission") and dealings are expected to commence on or around 2 November 2009. These new ordinary shares have been allotted as a result of holders of the Company's Class S shares exercising their right to exchange 340,912 Class S shares into ordinary shares on a one-for-one basis.
For the purposes of the Financial Services Authority's Disclosure and Transparency Rules, following the Admission, the total number of ordinary shares in the Company will be 130,337,061 and 16,558,850 Class S shares (the number of Class S shares having reduced by 340,912 as a result of the share exchange).
For the avoidance of doubt, the aggregate number of ordinary shares and Class S shares remains the same as it was prior to the Admission (the increase in the company's ordinary shares being offset by an equal and opposite reduction in the number of outstanding Class S shares) and the overall voting rights of existing ordinary shareholders are unaffected.
The above figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
