Press Release | 14 February 2011 |
Acta S.p.A.
("Acta", "the Company" or the "Group")
€5.2 million Contract Win, Notice of Results
and Trading Update
Contract Win
Acta S.p.A. (AIM: ACTA), the clean energy products company, is pleased to announce that it has completed the signing of a Framework Agreement ("Agreement") to sell photovoltaic project consents to Boreas Wind Group Corporation ("BWG"), a wind and solar investment company. BWG is headed by British financier, Mr Antos Glogowski, and has built up extensive renewable energy interests in Australia and is now expanding its investment portfolio into Italy and Greece.
The Agreement covers the sale of up to 17.3 MW of consent-only projects in Italy, including already-consented projects and projects still in process of approval. Subject to the successful completion of project authorisation procedures and other completion conditions, the Agreement has a revenue value to Acta of up to €5.2 million.
Notice of Results and Trading Update
Acta is further pleased to provide the following trading update ahead of its 2010 Preliminary Results announcement expected to be made on 23 March 2011.
Italian PV Activities
The Company has continued to develop rapidly across all its business activities, with progress being particularly evident in the Company's activities in the Italian photovoltaic (PV) sector. Since the year end Acta has received project consents for an additional 3.8 MW of PV projects worth approximately €1.1 million, bringing the aggregate total of project consents received to date to 15.8 MW, as follows:
No. of Projects | Capacity (MW) | Value of Consents* | |
Previous consents received | 13 | 12.0 | €3,600,000 |
New consents received | 4 | 3.8 | €1,140,000 |
Total consents received | 17 | 15.8 | €4,740,000 |
* Consent value based on Company's estimate of current market rate for consent-only sales
All of the above project consents were either sold during 2010, or have been sold in 2011 subject to completion conditions under the Framework Agreements previously signed or the Agreement announced today with BWG. The development of PV project consents has been a strategic strength of the Company during 2010, allowing Acta to realise high margin revenues from the sale of consent-only projects as well as the development of a pipeline of profitable EPC service business.
Acta is currently in negotiation to close EPC contracts for a number of PV projects, including those sold to SPF Energy at the end of 2010. Despite the high level of PV connection applications deposited at the end of 2010, Acta has continued to receive a significant level of commercial demand for its PV portfolio and EPC services, confirming that investor appetite for the Italian PV sector remains strong.
Hydrogen Electrolyser and Fuel Cell Activities
Acta's product development activities continue to progress satisfactorily with a number of important commercial milestones expected to be achieved in the first half of 2011. The Company's revolutionary new hydrogen generator, launched during 2010, has continued to receive recognition for its effective and low cost solution to providing a practical hydrogen infrastructure for consumers. This product has a number of major competitive advantages in its ability to generate dry, compressed hydrogen from an intermittent power supply, without using high cost platinum in its manufacture.
Acta has now produced and tested its 1m3 electrolyser stack for industrial and automotive applications and is developing this product for distribution in partnership with Claind S.r.l., a market leading manufacturer and system integrator of gas generators and purifiers. This partnership, announced on 10 February 2011, is expected to accelerate the launch of Acta's low cost mid-sized electrolyser products for the off-grid housing, car refuelling and industrial markets.
During 2010 the Company continued to make good progress in the commercialisation of its electrolyser-based diesel enrichment product, and beta testing of the onboard hydrogen generation system with Italian truck fleet operators is now expected to take place during the first half of 2011. This will run in parallel with the development of an ethanol reforming-based version of the system intended for the Brazilian market, which has a high level of heavy diesel truck usage and widespread distribution of ethanol as a low-cost automotive fuel. A product development and distribution partnership with Nelson Piquet, Torben Grael and a Brazilian engineering consultancy firm for the commercialisation of this new application was announced on 9 February 2011.
As announced separately today, Acta has also entered a product development and production partnership with MES S.A., a Swiss fuel cell producer, for the manufacture of 250-500W portable power generators for use in marine and recreational vehicle applications. MES is a world leader in the research, development and manufacturing of electric components for automotive and household appliances and currently produces fuel cell components and systems from 500W up to 3kW. A small volume product launch is expected in Autumn 2011, with large scale production facilities planned for mid 2012.
Outlook
Finally, the Board has been very pleased with both the financial and operational progress of the Group during 2010, achieving profitability for the second half of the year and results for the year in line with market expectations. The rapid progress in financial and operational performance during 2010 is expected to continue in 2011.

About Acta S.p.A.
Acta S.p.A. is a developer and manufacturer of a range of clean energy products. Its product line includes market-leading compact hydrogen generators (electrolysers) which produce pure, dry and compressed hydrogen in a way that is easy-to-use and completely safe. The Company is also extensively involved in the Italian solar photovoltaic market through its photovoltaic business, ActaSol, and is committed to integrating its award-winning electrolysers with renewable energy sources. The Company is currently in the process of delivering a significant photovoltaic installation contract to SPF Energy through its joint venture company, SolGen, and is developing a substantial pipeline of project consents.
Acta's cost-competitive electrolysers are based on its proprietary, inexpensive environmental catalyst and hydrogen conversion technologies. These products help overcome the barriers to the adoption of fuel cells, most notably the lack of a local hydrogen infrastructure. Acta has exploited these technologies to develop onboard automotive hydrogen generation systems for diesel enrichment, reducing diesel consumption and pollution emissions.
Acta's low-cost hydrogen generators represent a unique breakthrough in electrolyser technology. They can operate using mains power or intermittent renewable energy, and produce clean, dry hydrogen already at pressure for use in fuel cell and other applications. This unique combination of features avoids the system complexity and energy cost of further cleaning, drying and compression of the hydrogen, resulting in a simple, compact, low-cost and highly efficient system that is ideally suited for energy conversion and storage applications. In such applications, which include battery replacement and renewable energy storage, low cost and high efficiency are critical to commercial viability, while hydrogen compression is essential for the energy density of the system. No other water electrolyser currently on the market offers this combination of benefits.
Acta is focusing on delivering its products to markets with high volume demand for high-value environmental solutions (transport, UPS, energy and leisure). It is accelerating the commercialisation of its products via partnerships with original equipment manufacturers (OEMs), distributors, and agents in these sectors, and intends to drive down production costs at high volume via contract manufacturing.
Acta is marketing its electrolyser product range to early adopters through its energy products division, Acta Energy. This division's objective is to ensure, through facilitating the widespread adoption of commercial and domestic fuel cell products, that Acta's hydrogen generator becomes a familiar industrial and domestic appliance.
Acta S.p.A. is based near Pisa, Italy, and was admitted to trading on AIM in October 2005.
