Publication of a Prospectus
ETFS Metal Securities Limited (the "Issuer") is pleased to announce that it has entered into revised programme documents in order to be able to offer all registered security holders of ETFS Physical Swiss Gold Securities the ability to require the redemption of their ETFS Physical Swiss Gold Securities directly with the Issuer for physical bullion. Previously this right was only available to financial institutions that have entered into an agreement entitled "Authorised Participant Agreement" with the Issuer ("Authorised Participants").
In order to be able to offer the additional redemption right, the Issuer has entered into the following documents dated and effective 28 December 2017:
- An agreement entitled Metal Agent Agreement with Heraeus Metals Germany GmbH & Co.KG whereby Heraeus Metals Germany GmbH & Co.KG agree to act as metal agent (the "Metal Agent") on behalf of the Issuer to facilitate the physical delivery of bullion to the bank specified by the redeeming registered security holder;
- A sixth supplemental trust instrument between the Issuer and the Trustee amending the Conditions so as to allow for the additional means of redemption of ETFS Physical Swiss Gold Securities; and
- An amendment deed to the Secured Unallocated Account Agreement between the Issuer, JPMorgan Chase Bank N.A. (as "Swiss Gold Custodian") and the Trustee setting out the terms upon which the Swiss Gold Custodian will transfer the relevant bullion attributable to such ETFS Physical Swiss Gold Securities being redeemed to the Metal Agent.
Full details of the additional redemption right are set out in a new base prospectus of the Issuer which has been approved today by the UK Listing Authority.
A copy of the prospectus has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.
