MySQUAR Limited ("MySQUAR" or the "Company")
ESOP and Grant of Options
The Company announces that further to details included in paragraph 19, Part I of the Company's AIM Admission Document and in addition to existing granted share options, it has established an ESOP with options over a pool of up to 7,137,819 ordinary share of no par value in the capital of the Company ("Ordinary Shares") ("ESOP Shares"), equivalent to approximately 2.75% of the current shares in issue (and 2.72% of the shares in issue following the exercise of share options as set out below), for the benefit of key employees and directors based on their performance in 2016.
The strike price of these options is 2.4p for employees, 3.5p for executive directors and 10p for a non-executive director, with a term of five years subject to immediate vesting. All of the granted options are subject to orderly market conditions for 6 months following exercise. Three directors of the Company, Eric Alfred Schaer, Pham Dang Hung and Ross David Marsh, were included in the award.
In addition David Serge Rossellat, Chief Technology Officer (CTO), exercised 2,395,978 existing share options at £0.00001 per share as per his Share Option Grant Agreement dated 10 May 2015.
Details of outstanding share options following the award and exercise for the CTO and directors are set out below. This excludes employees that have received a one-time share option award to date.

Following the grant of these options and the exercise of David Serge Rossellat's share options, the Company now has a total of 13,997,151 share options outstanding representing approximately 5.34% of the enlarged issued share capital.
Application will be made for the ordinary shares being issued as a result of the option exercise, which will rank pari passu with the Company's existing issued Ordinary Shares, to be admitted to trading on AIM. It is expected that admission will become effective and that trading in the Conversion Shares will commence on or around 10 February 2017 ('Admission').
In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, the Company hereby announces that following Admission it will have 262,145,684 Ordinary Shares in issue, none of which are held in treasury. Therefore, the total number of voting rights in the Company is 262,145,684.
The above figure of 262,145,684 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
