Erratum to Current Report from September 25, 2015

Ref. The Articles of Incorporation of S.N.G.N. ROMGAZ S.A.

S.N.G.N. ROMGAZ S.A informs the shareholders and investors that the Current Report from September 25, 2015 contains material errors inside the Articles of Incorporation Draft, at pages 15 and 20, namely at articles 17 and 23. Consequently, the Articles of Incorporation published on September 25, 2015 will change as follows:

- At Art.17 paragraph (10) "For the time period when there are no appointed Chairman and/or a Chairman substitute or, even if appointed, such are not able to exercise the Chairman's mandate, such mandate shall be exercised by the eldest member of the Board, as Chairman substitute, who is able to exercise such mandate." will read as follows: "For the time period when there are no appointed Chairman and/or a Chairman substitute or, even if appointed, such are not able to exercise the Chairman's mandate, such mandate shall be exercised by the Chairman of the Nomination and Remuneration Committee or, if he is not able to exercise such mandate, by the Chairman of the Audit Committee.";

- A new paragraph is inserted at Art.17, namely paragraph (16): "In case of dismissal due to reasons not attributable to the Director, the Director has the right for compensation from the Company for the period of the contract that was not performed, irrespective of the date of dismissal." and the subsequent paragraphs are renumbered;

-  At Art.23, paragraph (13) is deleted and the subsequent paragraphs are renumbered.

The Articles of Incorporation Draft, updated, will be published today, September 28, 2015, on the company's website, among the informational documents related to the Extraordinary General Meeting of Shareholders from October 29, 2015 (www.romgaz.ro - Investor Relations - General Meeting of Shareholders).
