Equity Fundraise Update and Total Voting Rights

Fiinu Plc (AIM: BANK), a fintech group and creator of the plugin Overdraft®, announces that further to the Company's notification on 15 September 2025, the Company can confirm that it has received cash, under the terms of the subscription agreements, of £700,000 to date and will proceed with the issue and allotment of 3,500,000 new ordinary shares at 20 pence per share (the "Subscription Shares") and admission to trading of these new ordinary shares..

Application has already been made for the Subscription Shares, which will rank pari passu with the existing ordinary shares, to be admitted to trading on AIM. Admission is expected to occur on or around 22 September 2025.

Further announcements will be made as appropriate.

Total Voting Rights

Following the issue of the Subscription Shares, and the 9,400,000 new ordinary shares admitted to trading on 17 September 2025, the total issued share capital of the Company will consist of 398,441,653 ordinary shares of 10 pence each. The Company does not hold any ordinary shares in Treasury, therefore the total voting rights in the Company following Admission will be 398,441,653. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
