ENACOM authorises transfer of Fibertel license

On 22 April 2016, Grupo Clarín S.A. (the "Company") informed the Argentine Securities Commission and the Buenos Aires Stock Exchange its subsidiary Cablevisión S.A. ("Cablevisión") had been served notice of Resolution No. 1359 ENACOM/16, whereby the National Communications Agency (ENACOM) had authorised FIBERTEL SOCIEDAD ANÓNIMA (a former subsidiary that was merged into Cablevisión) to transfer its Telecommunication Service License and the registrations of its Data Transmission, Paging, Videoconference, Community Retransmission, Transport of Broadcast Signals, Value-Added, Radio-Electric Trunking, Local Telephony and Public Telephony to Cablevisión S.A.

Attached as Exhibit A is a free translation of the relevant portions of Resolution No. 1359 ENACOM/16.

HAVING REVIEWED File No. 33,257/1996 of the Registry of the former NATIONAL TELECOMMUNICATIONS COMMISSION, a decentralized agency of this COMMUNICATIONS SECRETARIAT, then under the NATIONAL PRESIDENCY, and

WHEREAS:

Therefore,

THE PRESIDENT

OF THE NATIONAL COMMUNICATIONS AGENCY

RESOLVES:

ARTICLE 1º - To authorise the Company FIBERTEL SOCIEDAD ANÓNIMA (CUIT 30-68844958-4) to transfer its Telecommunication Service License in favour of the Company CABLEVISIÓN SOCIEDAD ANÓNIMA (CUIT 30-57365208-4), which will assume the rights and obligations that derive from the [license].

ARTICLE 2º - To authorise the Company FIBERTEL SOCIEDAD ANÓNIMA (CUIT 30-68844958-4) to transfer the registrations of its Data Transmission, Paging, Videoconference, Community Retransmission, Transport of Broadcast Signals, Value-Added, Radio-Electric Trunking, Local Telephony and Public Telephony in favour of the Company CABLEVISIÓN SOCIEDAD ANÓNIMA (CUIT 30-57365208-4).

ARTICLE 3º - Let the interested party be notified pursuant to Article 11 of the National Administrative Procedures Law No. 19,549 and pursuant to the terms and scope provided under Article 40 and related articles of Decree No. 1,759/72 (as restated by Decree No. 1,883/91).

ARTICLE 4º - Let this Resolution be communicated, published, sent to the National Direction of Official Registry and filed. - MIGUEL ANGEL DE GODOY, President, National Communications Agency.
