Wincanton PLC02 October 2006 Wincanton plc The Company was notified on Monday, 2 October 2006 by the trustee of theWincanton plc Employee Share Trust that it had transferred, on that date, 91,078Ordinary 10 pence shares out of Trust. The transfer was in respect of anexercise by a participant of the Wincanton plc Unapproved Executive Share OptionScheme 2001 who was classified as a good leaver under the terms of the Scheme. Following this transaction, the Trust holds 3,292,495 shares in the Company inwhich PDMR's and the executive directors, Gerard Connell, Graeme McFaull andNigel Sullivan are deemed to be technically interested in under the CompaniesAct. The transactions did not relate to any directors or PDMR's of the Company.
