EMPLOYEE BENEFIT TRUST DEALING

KCOM Group PLC (the "Company") has been notified today that Praxis Trustees Limited, as a trustee of the Kingston Communications 2000 Employee Shares Trust (the "Trust"), has purchased 1,100,000 ordinary shares of 10 pence each of the Company at an average price of 94.94 pence per share.

The purchases were made in order to cover the share scheme obligations of the Trust and have been funded by the Company.

The Trust now owns 1,209,073 ordinary shares of 10p each, representing 0.23% of the Company's issued share capital and voting rights. These shares will be held in trust until they vest; therefore the purchase of these shares does not reduce the share capital in issue.

The Company has the following additional obligations to the Trust to satisfy share scheme vesting this financial year, in addition to the on-going monthly Share Incentive Plan obligations:

§ 1.0 million shares in November 2014; and

§ 0.8 million shares in March 2015.
