M&G High Income Investment Trust P.L.C.

Following the Extraordinary General Meeting of the Company held today, the Board is pleased to announce that both resolutions put to shareholders were passed. The special resolutions:

i. Approve recommended proposals for the issue of new shares and new units in

connection with the Scheme of Reconstruction of M&G Income Investment

Company Limited (`the Proposals') and authorise the Directors to allot

securities and disapply pre-emption rights pursuant to the Proposals;

ii. Authorise the Directors to allot shares other than for the purposes of the

Proposals under Section 80 of the Companies Act 1985 and disapply

pre-emption rights under Section 89(1) of the Companies Act 1985.
