The resolutions passed: (a) approved the proposed acquisitions of assets andinterests in respect of five PFI/PPP infrastructure projects by subsidiaries ofthe Company from related parties of the Company; and (b) approved the amendmentto the Company's Articles of Association by the inclusion of pre-emption rightson the issue of shares in the capital of the Company for cash, in each case asdetailed in the circular to shareholders dated 26 November 2007 (the"Circular").
