The resolution permits the Directors to increase the authorisedshare capital to create C Shares and to create Deferred Shares, to allot all19,800,000 C Shares, to allot up to 19,800,000 as if Section 89(1) of theCompanies Act 1985 did not apply and to amend the Articles to include the rightsattaching to the C Shares and Deferred Shares.
