Annual Report & Annual General Meeting

Rotork p.l.c. (the "Company") announces that two copies of the 2009 Annual Report, the Notice of the Annual General Meeting to be held on 23rd April 2010 (the "AGM"), the form of proxy for use in connection with the AGM and a copy of the draft Articles of Association and Rules of the Rotork Long Term Share Incentive Plan (2010), (the "LTIP") proposed to be adopted at the AGM, together with an explanatory memorandum in relation to the LTIP, have been submitted to the UK Listing Authority.

Copies of the above documents will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at:

It is proposed that the Company adopts new Articles of Association and the LTIP at the AGM. A summary of the proposed changes to the Articles of Association and the principal terms of the LTIP are set out in the Notice of AGM and accompanying explanatory memorandum in relation to the LTIP which will shortly be available for download, together with the 2009 Annual Report, from the Company's website at www.rotork.com. The revised Articles of Association are also currently available for inspection at the offices of Osborne Clarke, One London Wall, London EC2Y 5EB and the LTIP is available at the offices of Slaughter and May, One Bunhill Row, London EC1Y 8YY. Both documents are also available at the Company's registered office until the conclusion of the AGM.
