HAREWOOD STRUCTURED INVESTMENT PCC LIMITED (the "Company")

in respect of its US ENHANCED INCOME CELL (the "Cell")

DIVIDEND DECLARATION

The Directors have declared a third interim dividend of 2.4 pence per each Class A Sterling Hedged US Enhanced Income Preference Share payable out of the Cell in respect of the financial year ending 31 October 2014. This dividend will be payable on 1 September 2014 to holders on record as of 1 August 2014. The corresponding ex-dividend date will be 30 July 2014.

The Directors have declared a third interim dividend of 2.4 cents per each Class B Unhedged US Enhanced Income Preference Share payable out of the Cell in respect of the financial year ending 31 October 2014. This dividend will be payable on 1 September 2014 to holders on record as of 1 August 2014. The corresponding ex-dividend date will be 30 July 2014.
