Distribution of Consideration Shares

Further to the announcements made on 1 February 2010, 22 February 2010 and 26 February 2010 the Board of IQ Holdings plc announces that the Company will be distributing approximately 4,500,000 Rivington Street Holdings plc ("RSH") shares to IQH shareholders pro rata to their holdings in the Company. RSH has agreed to waive its right to receive RSH Shares in respect of its holding of 43,209,000 IQH shares.

Therefore the Company will distribute to its shareholders 36 RSH shares for every 10,000 IQH shares held, with any fractional entitlements being retained by the Company. This distribution will be paid to IQH shareholders on 29 March 2010 with the shares being marked ex-dividend on 29 March 2010 and the record date being 26 March 2010.

The Company currently has 1,287,195,774 shares in issue.
