Disposal of Clean Air Limited
Havelock Europa, (AIM:HVE.L), the retail and educational interiors group, today announces it has entered into an agreement to sell its entire shareholding in Clean Air Limited ("Clean Air ") to Perrott Engineering Group Limited for a consideration of £0.42 million on a cash and debt-free basis. The consideration has been paid in cash and will be applied to reduce the Group's bank debts.
Clean Air is a fume cupboard and fume extraction service provider, delivering a range of standard, bespoke and innovative fume cupboard and extraction solutions for schools, colleges, universities and research and industrial facilities. Clean Air, which is based in Bolton, Lancashire, was acquired by Havelock in 2004.
In the year to 31 December, 2011, Clean Air made a loss before taxation of £0.05 million on sales of £2.18 million. As at 31 December, 2011, Clean Air had net assets of £0.97 million comprising £0.31 million of operating assets and £0.66 million cash and amounts due from other group companies. Havelock does not expect the disposal of Clean Air to have a material impact upon its profits for the year ending 31 December, 2012.
Havelock continues to trade in line with its expectations and expects to make a pre-close statement of its results for the year ended 31 December, 2012 at the end of January 2013.
