DISPOSAL OF ASSETS

The Administrators of the Company, Craig James Povey, Kevin Anthony Murphy, Kenneth William Touhey of Chantry Vellacott DFK, have reported that the assets of the Company and Henderson Morley Research & Development Limited, including Patents, laboratory equipment, office equipment and furniture, were sold following their appointment on 8 September to Dawnglow Limited, a company of which Andrew Knight and Ian Pardoe are directors and shareholders. Andrew Knight and Ian Pardoe are former directors of Henderson Morley plc.

The consideration for the sale was £105,000 for the Patents and £15,000 for the laboratory equipment, office equipment and furniture. In addition, a further amount of consideration may be payable - this equates to 25% of any revenues generated in respect of the Patents in the first 12 months and 10% of any revenues in the following 6 months.
