DISPOSAL OF AFINIS COMMUNICATIONS SA

 

Cable & Wireless Communications Plc ("CWC" or the "Group") today announces that its subsidiary Monaco Telecom SAM ("Monaco Telecom") has sold its African-based enterprise business Afinis Communication SA ("Afinis") to SkyVision Global Networks Ltd ("SkyVision") for a total cash consideration of US$3.3 million.

 

Afinis incorporates Monaco Telecom's West African VSAT satellite services business, previously known as Connecteo. Afinis provides mission critical satellite communication services to corporate customers active in the oil & gas, mining, banking and telecommunication industries.

 

SkyVision is an IP telecommunication provider, with operations in Nigeria and East, Central and Southern Africa, amongst other locations. The sale of Afinis to SkyVision will increase the scale and market presence of the combined business.

 

Proceeds from the sale will be used for general working capital purposes. The transaction will not have a material impact on the Group. The consideration is on a cash and debt-free basis and is subject to certain working capital and reorganisation adjustments.

Notes:

1) The gross assets of Afinis as at 31 March 2012 were US$16.9 million. In the financial year ended 31 March 2012, Afinis generated a loss before tax of US$24.3 million. CWC's interest in Afinis was held through its 55% stake in Monaco Telecom.
