Disposal of 17% shares of Kedentransservice

In accordance with the joint venture cooperation agreement of 17 March 2011 between JSC "TransContainer" ("TransContainer" or the "Company") and JSC National Company Kazakhstan Temir Zholy ("KTZ"), on 23 December 2013 KTZ acquired from TransContainer 17% of the shares in Logistic System Management B.V., a company controlling 100% of the share capital of JSC Kedentransservice, a leading Kazakhstan rail container and terminal operator. As a result of the transaction, the Company's share in Kedentransservice decreased from 67% to 50%, while KTZ's share increased from 33% to 50%.
