MATERIAL FACT

Banco Santander announces that yesterday, February 22, 2010, it sold among institutional investors a stake of 2,099,762 shares of Bolsas y Mercados Españoles (BME) representing approximately 2.5% of the share capital of such company, at a price of Euro 20.0 per share, which amounts to a total of Euro 42 million approximately. The capital gain for Grupo Santander is of Euro 30.4 million approximately.

Grupo Santander maintains a stake of 2.5% in the capital of BME and will continue to be represented in its Board of Directors.
