Bank Pekao SA04 August 2006 UNOFFICIAL TRANSLATION (4th August, 2006) Report 83/2006: Sale of financial assets by Pekao Fundusz Kapitalowy Sp. z o.o.,subsidiary of Bank Pekao S.A. The Management Board of Bank Polska Kasa Opieki S.A. ("Bank") hereby informsthat on 3 August 2006, Pekao Fundusz Kapitalowy Sp. z o.o. ("PFK", subsidiary of theBank) divested of to Komas OY, the company established and operating inaccordance with law of Finland, and seated in Jyvaskyla in Finland,1 share in Fabryka Maszyn Sp. z o.o. w Janowie Lubelskim ("FMJ") with the parvalue of PLN 15,754,944.62 (say: PLN fifteen million seven hundred fifty fourthousand nine hundred forty four zloty and 62/100), and comprising a 86.68%stake in the Company's share capital, and carrying 86.68% of votes on theGeneral Meeting of FMJ for the price amounting in total Euro 3,125,000 (say: EURthree million one hundred twenty five thousand) that states PLN 12,242,812.50(say: PLN twelve million two hundred forty two thousand eight hundred twelvezloty and 50/100) according to NBP exchange table nr 150/A/NBP/2006 as of2006-08-03. The net book value of the sold share in FMJ is equal to PLN 11,938,761.95 (say:PLN eleven million nine hundred thirty eight thousand seven hundred sixty onezloty and 95/100). The sold asset had the character of long-term investment. In the result of this transaction, PFK and the Bank indirectly does not have anyshare in FMJ company. The information is submitted as the divested shares constitutes more than 20% ofcapital of the sold company, therefore it meets definition of financial assetsof substantial value used in the regulation.
