BBA Aviation plc - Disposal of APPH
BBA Aviation plc ("BBA Aviation" or the "Company"), the leading global aviation support and aftermarket services provider, announces that it has completed the sale of the share capital of its APPH entities, part of the Aftermarket Services division, to Héroux-Devtek Inc. ("Héroux-Devtek") for a total cash consideration of US$128 million.
APPH is a full service landing gear and hydraulic sub-systems supplier, manufacturing and supporting systems and sub-systems for original equipment and aftermarket applications. For the year ended 31 December 2013, APPH had estimated revenue of $76.8 million and $7.2 million of underlying operating profit. After disposal-related costs and cash which will transfer with the APPH entities, the net cash proceeds of the transaction will be approximately $120.6 million.
In accordance with the Group's disciplined approach to capital management, the Board is considering an appropriate return of cash to shareholders and will make a further announcement regarding this in conjunction with the Group's Final Results on 5th March. In the meantime, the proceeds of the disposal will be used to reduce the Group's net borrowings. Prior to the impact of a cash return to shareholders, the transaction will be marginally earnings dilutive.
