Report 21/2018: Dismissal of the shareholder's claim regarding an ascertainment of invalidity or alternatively for repealing of resolutions of the Bank's Ordinary General Meeting dated April 26, 2007

The Management Board of Bank Polska Kasa Opieki S.A. ("Bank") hereby informs that by the sentence of 25 September 2018 the Regional Court in Warsaw dismissed the Bank's shareholder claim: (i) for an ascertainment of invalidity of resolutions No 10 of the Bank's Ordinary General Meeting dated 26 April 2007 on granting an approval of the performance by the members of the Supervisory Board of their duties in 2006 or alternatively: (ii) for repealing of the resolutions No. 10, of the Bank's Ordinary General Meeting dated 26 April 2007 on granting an approval of the performance by the members of the Supervisory Board of their duties in 2006 and (iii) for repealing of the resolutions No. 4, No. 5, No. 6, No. 7, No. 8, No. 9, No. 11, No. 12, No 13, No. 14, No. 15, No. 16, No. 17, No 18 of the Bank's Ordinary General Meeting dated 26 April 2007 regarding an approval of the report of Management Board on the operations of the Bank in 2006, an approval of the report of Management Board on the operations of Capital Group of the Bank in 2006, an approval of the consolidated financial statements of the Bank for 2006, an approval of the consolidated financial statements of the Capital Group of the Bank for 2006, an allocation of net profits for 2006, an approval of the report on the operations of the Supervisory Board in 2006, granting an approval of the performance by the members of the Management Board of their duties in 2006.

The aforementioned sentence is not valid.

Legal basis: § 19 section 1 point 10 of the Finance Minister's Ordinance of 29 March 2018 re. current and periodic reports published by the issuers of securities and the rules under which the information required by the laws of non-member states shall be deemed equivalent.
