Discontinuance of legal proceeding

Reports 59/2012: Discontinuance of legal proceeding and dismissal of the claim in the case for repealing the resolutions of the Ordinary Shareholders Meeting of the Bank dated April 28, 2010

The Management Board of Bank Polska Kasa Opieki S.A. ("Bank") hereby informs that on 9 October 2012 the Circuit Court in Warsaw:

1) discontinued - as a result of partial withdrawal of the lawsuit - the proceeding initiated by legal action of the Bank's shareholder in the part related to repealing of resolutions no. 29 and no. 44 of the Bank's Ordinary General Meeting of 28 April 2010 on granting the vote of approval to the Management Board member for execution of his duty in 2009 and the amendment of the Bank's Statute;

2) in the rest part of proceeding, dismissed the claim brought by the Bank's shareholder to repeal the resolution no. 12 of the Bank's Ordinary General Meeting of 28 April 2010 on approving the Bank's Capital Group financial statement for 2009.

The decision on discontinuation of the proceeding and verdict on dismissal the claim both are invalid.

Legal basis: § 38 section 1 point 10 of the Finance Minister's Ordinance of 19 February 2009 re. current and periodic reports published by the issuers of securities and the rules of equal treatment of the information required by the laws of non-member states.
