D1 Oils Plc25 July 2005 D1 Oils plc ("the Company") - Notification of Directors' Interests D1 Oils plc announces today that it has been notified of certain changes inDirectors' Interests in the Ordinary Shares of the Company. Philip Kenneth Wood The Company has received notification from Philip Kenneth Wood that 250,000shares in the Company of which he was previously the beneficial owner have beentransferred to him by the nominee shareholders and that he is now the registeredowner of 673,000 Ordinary Shares in the Company representing 2.16% of theCompany's issued share capital. There is therefore no change in Mr Wood'sbeneficial interests. Mr Wood has agreed with Bell Lawrie that he has acceptedlock-in and orderly marketing arrangements regarding his share interests in theCompany such that he may not, without the consent of Bell Lawrie dispose of anyof these shares prior to 28 April 2006. Peter John Davidson The Company has received notification from Peter John Davidson that 93,750shares in the Company of which he was previously the beneficial owner have beentransferred to him by the nominee shareholder and that he is now the registeredowner of 93,750 Ordinary Shares in the Company representing 0.30% of theCompany's issued share capital. There is therefore no change in Mr Davidson'sbeneficial interests. Mr Davidson has agreed with Bell Lawrie that he hasaccepted lock-in and orderly marketing arrangements regarding his shareinterests in the Company such that he may not, without the consent of BellLawrie dispose of any of these shares prior to 28 April 2006. John Barclay Forrest John Barclay Forrest has notified the Company that he has transferred 125,000Ordinary Shares to Philip Kenneth Wood, also a Director of the Company. MrForrest had held these shares as nominee for Mr Wood. Mr Forrest is interestedin 125,000 Ordinary Shares in the Company representing 0.40% of the Company'sissued share capital.
