Capital & Regional plc08 July 2005 Capital & Regional plc - Directors' Interests Capital & Regional plc announces that on 8 July 2005 the Company's remunerationcommittee made conditional share awards in accordance with its Long TermIncentive Plan. The executive directors, together with other employees, arepotential beneficiaries and are therefore treated as having an interest. The number of shares conditionally awarded is 329,203, equivalent to 0.5% of thecompany's share capital. The shares will vest in 2008 if the performanceconditions laid out in the rules of the scheme are met. The maximum number of shares which could be received by each director is: MBarber (39702), X Pullen (33871), K Ford (32568), A Lewis-Pratt (32568), WSunnucks (26055) and PY Gerbeau (32568).
