On 19 December 2008, the following awards over ordinary shares of 25p each in the Company ("Shares") were made under the rules of the Chamberlin & Hill Performance Share Plan:

Under the PSP, awards are structured as nil-cost options ("Options"). No consideration was paid for the grant of the Options.
The vesting of an Option is subject to the continued employment of the participant and the satisfaction of a performance condition set by the Remuneration Committee of the Company. The Option will normally become exercisable on the third anniversary of the date of grant subject to the satisfaction of a performance condition set by the Remuneration Committee of the Company.
To the extent that an Option becomes exercisable, it remains exercisable for a period of 12 months from the date of vesting.
The Company was informed of the above transactions under the PSP on 19 December 2008.
